Kitchen Me Now Terms & Conditions

These Terms & Conditions, together with any Proposal, Estimate, or Agreement, form the complete Contract between Kitchen Me Now and the Client.
1. General
These Terms & Conditions, together with any Proposal, Estimate, or Agreement (collectively, the “Agreement”), form the complete Contract between Kitchen Me Now (“Contractor”) and the Client (“Owner”).
2. Standard of Care
Contractor will perform services consistent with the level of care and skill ordinarily exercised by remodeling professionals practicing in Pennsylvania on projects of similar scope and complexity. Services will be performed in a timely manner consistent with professional standards and project conditions.
3. Invoicing & Payment Terms
Invoices are due within 3 days of issuance unless otherwise stated.Balances past 30 days will incur a 1.5% monthly finance charge (18% annually).Contractor reserves the right to pause work, purchasing, or project coordination for overdue accounts.
4. Purchasing & Trade Pricing
When Contractor purchases products on Owner’s behalf, a purchasing/procurement fee may be applied.Any trade discounts are applied at Contractor’s discretion and may be shared with the Owner. Pricing reflects sourcing expertise, coordination, and risk assumed by Contractor—not just product cost.
5. Orders, Cancellations & Returns
Once signoff is received, orders are placed and the following rules apply:All cabinetry, countertops and stone, custom furniture, and custom designed items are considered special order.Once approved and/or ordered, items are non-cancellable, non-returnable, and non-refundable.Owner is responsible for any costs incurred due to attempted changes, including restocking, shipping, or vendor penalties.For items procured as part of a project from vendors who accept returns, a 35% restocking fee will apply.Contractor is not responsible for any items purchased directly by the Owner. If incorporated into the project, additional coordination fees may apply.All concerns about custom items must be addressed prior to signoff and ordering. All returns must be requested and processed within 14 days of purchase. All items must be inspected immediately upon arrival for damage.
6. Receiving, Delivery & Installation
When Contractor coordinates product procurement:A third-party receiving and delivery service may be used.All related costs (receiving, inspection, storage, delivery, insurance) will be billed to Owner.Contractor is not responsible for delays, damages, or errors caused by third-party vendors, though will assist in resolution.

7. Warranties
All products are covered solely by manufacturer warranties.Contractor makes no additional warranties, express or implied, including merchantability or fitness for a particular purpose.Natural variations (color, grain, texture) are inherent and not considered defects—especially in cabinetry and natural materials.

8. Sales Tax
Applicable Pennsylvania sales tax will be applied to taxable goods and services in accordance with state law.For materials provided in conjunction with a remodel or construction project, sales tax is paid by the Contractor and included as part of the overall estimate where applicable.

9. Use of Documents (Work Product)
All drawings, renderings, specifications, and related materials remain the intellectual property of Contractor or its design partners.Owner is granted a non-exclusive license to use these materials solely for this project.Unauthorized reuse, sharing, or modification is at Owner’s risk.Owner agrees to indemnify Contractor from claims resulting from misuse.

10. Limitation of Liability
To the fullest extent permitted under Pennsylvania law:Contractor’s total liability for any claim related to the project shall not exceed the total fees paid to Contractor.This applies to all claims, including negligence.

11. Waiver of Consequential DamagesBoth parties waive claims for indirect, incidental, or consequential damages, including loss of use, lost profits, or delays.

12. Suspension & Termination
Either party may terminate this Agreement with 7 days written notice.Owner remains responsible for all work performed and expenses incurred prior to termination.Nonpayment is considered a material breach and grounds for immediate suspension or termination.Contractor may withhold drawings, plans, or specifications until all outstanding balances are paid.

13. Dispute Resolution
This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.The parties agree to attempt good-faith mediation prior to litigation.Venue for any legal action shall be in a court of competent jurisdiction in Pennsylvania.

14. Photography & Marketing Rights
Contractor may photograph completed work for portfolio, website, social media, and marketing purposes.No personal identifying information (name, address) will be used without Owner’s consent.Photography will be scheduled at a mutually convenient time.If Owner requests removal of digital media, Contractor will comply within a reasonable timeframe. Removal from print media cannot be guaranteed once distributed.

15. Miscellaneous
Agreements are binding for both parties and their successors and assigns.This Agreement represents the entire understanding between the parties and supersedes prior discussions.Any modifications must be in writing and signed by both parties.

16. Cabinetry & Material Acknowledgment
Owner acknowledges that:Cabinetry and finish selections are final upon approval.Variations in wood, paint, and manufactured materials are normal. Lead times are estimates and subject to manufacturer and supply chain conditions.
